These Terms of Service (the “Terms”) govern your use of the online store and website operated by Eric Kuehnl, doing business as Signalworks DSP (“Signalworks,” “we,” “us,” or “our”), at https://www.signalworksdsp.com (collectively, the “Store”), including purchases made through the Store.
By accessing the Store or placing an order, you agree to these Terms. If you do not agree, do not use the Store or place an order. If you place an order for a company, school, studio, or other organization, you confirm that you have authority to bind that organization.
1. Other Policies and Software Terms
These Terms govern the Store, orders, payment, and digital delivery. Your installation and use of Signalworks software and factory content are governed separately by the Signalworks DSP Software End User License Agreement (the “Software EULA”), which is presented for acceptance with the software. Our Privacy Policy explains how personal information is handled, and our Refund Policy explains refund eligibility and procedures.
If these Terms conflict with the Software EULA, the Software EULA controls with respect to the license, installation, and use of the software and factory content, while these Terms control with respect to the Store and the order. Nothing in these Terms limits a consumer right that applicable law does not permit us to limit.
2. Eligibility and Store Information
You must be legally capable of entering into a binding contract to place an order. If you are not the age of majority where you live, you may use the Store only with the involvement and consent of a parent or legal guardian.
You agree to provide current, complete, and accurate purchase and account information. You are responsible for safeguarding your account credentials and for activity conducted through your account.
3. Products, Trials, and System Requirements
Signalworks currently sells and distributes digital software, license credentials, downloads, and related documentation. No physical product will be shipped unless a product page expressly says otherwise.
Product descriptions, features, supported formats, system requirements, compatibility information, prices, and availability may change for future orders. Please review the applicable product page before purchasing. Where a demonstration version is available, we encourage you to use it to confirm compatibility with your computer, operating system, plug-in host, and workflow before purchasing.
Audio demonstrations, presets, screenshots, and descriptions illustrate possible uses of a product. Results can vary with the instrument, performance, input level, recording chain, host, monitoring system, settings, and other factors.
4. Orders and Acceptance
Submitting an order is an offer to purchase the products listed in the order. We may accept or decline an order, limit quantities, or cancel an order before delivery for reasons including suspected fraud, payment failure, legal or licensing restrictions, an incorrect price or product description, or inability to fulfill the order. If we cancel a paid order before delivery, we will refund the amount charged for the cancelled item.
An automated order confirmation acknowledges receipt of your order but does not by itself guarantee acceptance. An order is accepted when we deliver the applicable download access or license credential, or otherwise confirm fulfillment.
Products are licensed to the customer identified in the order. License sharing, resale, transfer, and organizational use are governed by the Software EULA and any product-specific or separately signed terms.
5. Prices, Payment, and Taxes
Prices are shown in the currency displayed at checkout. You authorize us and our payment providers to charge the payment method you select for the order total shown at checkout, including applicable taxes. Your bank or payment provider may charge separate currency-conversion or transaction fees.
We may correct pricing, description, or availability errors before accepting an order. Price changes and promotions apply prospectively and do not entitle previous purchasers to a refund or price adjustment unless we expressly state otherwise or applicable law requires it.
6. Digital Delivery
Paid software license credentials and order information are delivered electronically to the email address supplied at checkout. Download access may be provided on the product page, order-status page, by email, or through a digital-delivery service. Most completed orders are delivered shortly after payment is confirmed, but payment review, fraud screening, service interruptions, or an incorrect email address can cause delays.
You are responsible for entering an email address you can access and for checking spam or junk folders. If a paid order has not arrived, contact support@signalworksdsp.com with the purchaser’s name, order number, and email address used at checkout. We may verify the order before reissuing a download or license credential.
There are no shipping charges or physical returns for products delivered solely in digital form.
7. Refunds
Refund requests are governed by our Refund Policy, which is incorporated into these Terms. Nothing in these Terms or the Refund Policy limits any refund, cancellation, withdrawal, conformity, warranty, or other consumer right that cannot lawfully be excluded or limited.
8. Store Use
You may use the Store only for lawful purposes. You may not:
- interfere with the Store’s operation, security, or access controls;
- introduce malicious code or attempt unauthorized access;
- use the Store to commit fraud, impersonate another person, or violate another person’s rights;
- scrape, harvest, reproduce, or commercially exploit Store content except as permitted by law or with our written permission; or
- use automated means to place orders, create accounts, or burden the Store without our written permission.
We may suspend or restrict access to protect the Store, customers, Signalworks, or third parties, or to comply with law.
9. Store Content and Intellectual Property
The Store and its text, graphics, branding, product images, audio demonstrations, and other content are owned by Signalworks or its licensors and are protected by intellectual-property laws. Subject to these Terms, you may access the Store for personal or internal business evaluation and purchasing purposes. No other right is granted.
Rights in Signalworks software, factory content, and related documentation are addressed in the Software EULA. Third-party names and marks belong to their respective owners. Their appearance does not imply affiliation, sponsorship, or endorsement unless expressly stated.
10. Third-Party Services and Links
The Store is hosted by Shopify and may use third-party services for payment processing, digital delivery, analytics, communication, and other functions. Those services may be governed by their own terms and privacy notices. We are not responsible for third-party websites or services that we do not control, although this does not affect obligations we have to you under applicable law.
11. Availability and Changes
We may modify, suspend, or discontinue Store features, product listings, or free downloads. This does not alter an order we have already accepted or a perpetual software license you lawfully obtained, except as allowed by the Software EULA or applicable law.
Store maintenance, internet conditions, security incidents, or third-party service interruptions may occasionally affect availability. Contact support if an interruption prevents access to a paid order.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE STORE AND STORE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SIGNALWORKS DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES RELATING TO THE STORE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
Software warranties and disclaimers are governed by the Software EULA. Some jurisdictions do not allow certain exclusions, so the exclusions above apply only to the extent permitted by law.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALWORKS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, PROJECTS, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE STORE OR AN ORDER, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALWORKS’ TOTAL LIABILITY ARISING FROM OR RELATED TO A STORE ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. Liability relating to the software itself is addressed in the Software EULA.
These limitations do not apply to liability or consumer remedies that applicable law does not permit us to exclude or limit.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to any consumer right that cannot be waived, the state and federal courts located in Alameda County, California, will have exclusive jurisdiction over disputes arising from these Terms or the Store. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If you are a consumer, this section does not deprive you of mandatory rights or protections available under the law of your usual place of residence.
15. Changes to These Terms
We may update these Terms prospectively to reflect changes to the Store, our practices, or applicable law. We will post the revised Terms and update the “Last updated” date. Material changes will apply only as permitted by law. The terms in effect when we accept an order will continue to govern that order unless you agree to a change or applicable law requires otherwise.
16. General Terms
If we do not enforce a provision, that does not waive our right to enforce it later. If a provision is found unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain in effect. Headings are for convenience only.
These Terms, the applicable order, the Refund Policy, the Privacy Policy, the Software EULA, and any product-specific or separately signed terms form the agreement applicable to your use of the Store and purchase and use of Signalworks software, each within its stated subject matter. Separately signed terms control to the extent of a conflict.
